Terms of Service

These Terms apply to your use of commissioned.tech and related services operated by Commissioned Tech, Inc. Please read them carefully before using the Service.
1. Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, sites, and applications made available by Commissioned Tech, Inc., including commissioned.tech and any related interfaces (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
2. Who We Are
Commissioned Tech, Inc. (“Commissioned,” “we,” “us,” or “our”) provides tooling to build, fine‑tune, and deploy AI models. References to “you” or “your” mean the person or entity using the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and that it accepts these Terms.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You must provide accurate, complete registration information and keep it current. You are responsible for all activity under your account.
4. Account Security
Safeguard your login credentials. Notify us promptly at support@commissioned.tech if you suspect unauthorized access. We may suspend access to protect the Service and other users.
5. Permitted and Prohibited Use
You may use the Service only for lawful purposes and in accordance with these Terms. You will not:
use the Service in violation of applicable law, for harmful or abusive content, or to infringe intellectual property or privacy rights;
attempt to bypass, probe, or interfere with security or access controls;
reverse engineer or decompile the Service except to the extent required by law;
upload or transmit malware, malicious code, or content that could damage systems;
use outputs in high‑risk contexts (including medical diagnosis, emergency services, or safety‑critical systems) where errors could cause harm; or
misrepresent output as human‑generated where disclosure is legally required.
6. Your Content and License to Us
You retain ownership of content, data, and materials you submit to or generate through the Service (“Your Content”). You grant Commissioned a worldwide, non‑exclusive, royalty‑free license to host, process, store, display, and transmit Your Content as necessary to provide, maintain, and improve the Service and to comply with law.
You represent that you have all rights necessary to grant this license and that Your Content does not violate these Terms or applicable law.
7. Outputs and Evaluation Data
The Service may produce AI‑generated outputs based on inputs you provide. Outputs can be inaccurate or incomplete. You are responsible for reviewing outputs for accuracy and appropriateness before use. Do not rely on outputs without human review, especially in high‑stakes contexts.
8. Fees and Payment
If you purchase paid features, you agree to pay the fees described at the time of purchase, plus applicable taxes. Fees are non‑refundable except where required by law. We may suspend or terminate access for unpaid or overdue amounts.
9. Third‑Party Services and Integrations
The Service may depend on or interoperate with third‑party services (e.g., model providers, storage, payment processors). Use of those services may be subject to separate terms. Commissioned is not responsible for third‑party services and provides them on an “as available” basis.
10. Ownership
Commissioned and its licensors own the Service and all related intellectual property. Except for the limited rights expressly granted in these Terms, no rights are conveyed to you. “Commissioned” and associated marks are trademarks of Commissioned Tech, Inc.
11. Beta or Preview Features
We may offer preview, beta, or experimental features (“Beta Features”). Beta Features are provided for evaluation, may change or end at any time, and may be subject to additional terms. They are provided “as is” without warranties.
12. Service Changes
We may update or discontinue features to improve performance, security, or compliance. If a change materially reduces core functionality for you, we will endeavor to provide notice where reasonably feasible.
13. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Commissioned disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non‑infringement, and that the Service will be error‑free or uninterrupted.
14. Limitation of Liability
To the fullest extent permitted by law, Commissioned’s aggregate liability arising out of or related to the Service is limited to the amounts you paid to Commissioned for the Service during the twelve (12) months preceding the event giving rise to liability. Commissioned is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill.
15. Indemnification
You will defend, indemnify, and hold harmless Commissioned Tech, Inc. and its affiliates, officers, employees, and agents from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, or your violation of these Terms or applicable law.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict‑of‑law rules. The state and federal courts located in Wilmington, Delaware have exclusive jurisdiction, and you consent to their personal jurisdiction.
17. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, pose a security risk, or as required by law. Sections that by their nature should survive (including ownership, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.
18. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the Effective Date above. Material changes will be communicated when required. Your continued use of the Service after the revised Terms become effective constitutes acceptance.
